Respite Request Inc.
Last Updated: January 3, 2026
1. Introduction
1.1 About Us
These Terms of Service ("Terms") are a legal agreement between you and Respite Request Inc. ("Respite Request," "we," "us," or "our"), a Canadian corporation. We operate the Respite Request platform and website (www.respiterequest.com), as well as Navelder, an AI-powered concierge and marketplace product.
Navelder is a product of Respite Request Inc. and is presented as "Navelder, powered by Respite Request." Throughout these Terms, references to "the Service," "our platform," or "the services" include both the Respite Request website and the Navelder product, as well as any related applications, tools, features, or content we provide.
1.2 Agreement to Terms
By accessing or using any part of our Service—including browsing our website, creating an account, sending inquiries, listing provider services, or using Navelder's AI-assisted features—you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Service.
1.3 Additional Terms
Certain features of the Service may be subject to additional terms or guidelines. If there is a conflict between these Terms and any additional terms, the additional terms will govern for that specific feature.
2. Who May Use the Services
2.1 Eligibility
To use our Service, you must:
- Be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater;
- Have the legal capacity to enter into a binding agreement;
- Not be prohibited from using the Service under applicable laws.
If you are using the Service on behalf of an organization (such as a hospital, retirement residence, or home care agency), you represent that you have the authority to bind that organization to these Terms.
2.2 Compliance with Laws
You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and professional standards in your jurisdiction. We do not guarantee that the Service is appropriate or available for use in every location.
3. Description of the Services
3.1 What We Offer
Respite Request and Navelder provide an online platform that connects:
- Family caregivers and seniors looking for respite care, trial stays, and senior living options;
- Hospital discharge planners and care coordinators seeking to identify suitable care options for patients;
- Retirement residences, senior living communities, home support providers, and related service providers who wish to reach potential clients.
Our services include:
- A searchable directory and marketplace of providers;
- Navelder's AI-assisted concierge experience, which helps users explore options, understand care types, and formulate inquiries;
- Tools to send structured inquiries and messages to providers;
- Event listings and RSVP functionality (such as open houses and caregiver education sessions);
- Informational content, including blog posts and city guides.
3.2 Important Limitations
We do not provide medical, legal, or financial advice. The information and tools available through our Service are for general informational and convenience purposes only. They are not a substitute for professional advice from qualified healthcare providers, lawyers, financial advisors, or other professionals.
We do not guarantee any provider or outcome. We do not endorse, certify, or guarantee the quality, safety, suitability, availability, or legality of any provider, service, or listing on our platform. All decisions about care—including whether to engage a particular provider—are made solely between you and the provider. You are responsible for conducting your own due diligence.
We are not a party to transactions between users and providers. Any agreement, contract, or arrangement you enter into with a provider is strictly between you and that provider. We are not responsible for any disputes, claims, or issues arising from such arrangements.
4. Provider Listings and Content
4.1 Provider Responsibilities
If you are a provider listing services on our platform, you are solely responsible for:
- The accuracy, completeness, and legality of your listing content, including descriptions, photos, pricing, availability, credentials, and claims;
- Keeping your listing information current and updating it promptly when circumstances change;
- Complying with all applicable laws, regulations, licensing requirements, and professional standards.
You represent and warrant that all information you provide is truthful and not misleading.
4.2 Our Rights Regarding Listings
We reserve the right, at our sole discretion, to:
- Review, edit, remove, or refuse to publish any listing or content that we believe violates these Terms, our policies, or applicable laws;
- Remove listings that appear to be inactive, inaccurate, or misleading;
- Prioritize, rank, or display listings in any manner we choose.
We do not guarantee that any particular provider will be displayed, that search results will be exhaustive, or that any specific ranking or placement will be maintained.
4.3 No Exhaustive Directory
Our platform does not include every provider in a given area. The absence of a provider from our directory does not indicate anything about that provider's quality or legitimacy. Conversely, inclusion in our directory does not constitute an endorsement.
5. User Accounts
5.1 Account Creation
Some features of our Service require you to create an account. When you do so, you agree to:
- Provide accurate, current, and complete information;
- Keep your login credentials confidential and secure;
- Promptly update your account information if it changes;
- Notify us immediately if you suspect unauthorized access to your account.
You are responsible for all activity that occurs under your account.
5.2 Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms;
- Misrepresent your identity, qualifications, or affiliation with any person or organization;
- Submit false, misleading, or fraudulent information;
- Harass, abuse, threaten, or harm other users, providers, or our staff;
- Scrape, crawl, or use automated tools to access the Service without our express written permission;
- Attempt to interfere with, disrupt, or compromise the security or integrity of the Service;
- Use the Service to send spam, unsolicited messages, or unauthorized advertising;
- Infringe on the intellectual property rights of others;
- Resell, redistribute, or commercially exploit the Service without authorization;
- Reverse engineer, decompile, disassemble, or attempt to derive or replicate the platform's workflows, algorithms, matching methodologies, ranking logic, AI orchestration, system design, or underlying technology;
- Use access to the Service, including outputs, analytics, or dashboards, for competitive research, benchmarking, intelligence-gathering, or the development of competing products or services;
- Access or use the Service for the purpose of evaluating, studying, or analyzing it on behalf of a competitor or prospective competitor;
- Copy, reproduce, or extract substantial portions of the Service's content, structure, or data for purposes other than your legitimate internal use.
You acknowledge that verified access or account credentials do not grant permission to engage in any of the prohibited activities listed above. Access is strictly for the intended operational use of the Service as described in these Terms.
5.3 Verified Accounts and Conditional Access
Verified provider accounts, discharge planner portals, and premium or enhanced access levels are granted at our discretion and remain conditional, limited, and revocable. Such access is provided solely to enable legitimate operational use of the Service and does not grant any broader rights to platform technology, outputs, or proprietary information.
We may monitor usage patterns, access logs, and account activity to detect misuse, unauthorized scraping, data extraction, competitive analysis, or other violations of these Terms. Monitoring may occur without prior notice and does not require user consent beyond your acceptance of these Terms.
5.4 Suspension and Termination
We may suspend or terminate your account, revoke verified status, or restrict your access to the Service, at any time and for any reason, including if we reasonably believe you have violated these Terms. We will attempt to provide notice where practicable, but we are not obligated to do so in cases involving fraud, abuse, competitive misuse, reverse engineering attempts, data scraping, or legal risk.
In the event of a violation involving misuse of Platform Outputs, reverse engineering, or competitive intelligence activities, we reserve the right to pursue all available legal remedies, including injunctive relief and monetary damages, without prior notice or opportunity to cure.
6. Communications and Inquiries
6.1 Messages Through the Platform
When you send messages, inquiries, or RSVPs through our platform, you understand that:
- These communications are facilitated by our Service and are not private medical records or privileged communications;
- We may access, view, store, and process the content of messages as necessary to operate the Service, improve quality, ensure safety, detect fraud, and comply with legal obligations;
- Providers who receive your messages may respond to you directly, and we are not responsible for their responses or lack thereof.
6.2 Your Responsibilities
You are responsible for the information you share through the Service. We encourage you to:
- Share only the information necessary to accomplish your purpose;
- Avoid submitting highly sensitive personal information (such as detailed medical diagnoses, Social Insurance Numbers, or financial account details) unless strictly required and through appropriate secure channels;
- Exercise caution and good judgment in all communications.
6.3 Service Communications
By using the Service, you agree to receive service-related communications from us, including account notifications, security alerts, and updates about features you use. You may also receive promotional communications where permitted, with the option to unsubscribe.
7. AI and Automation (Navelder)
7.1 How Navelder Works
Navelder uses artificial intelligence, machine learning models, and automation to help users explore options, understand care types, and formulate inquiries. Navelder may provide suggestions, summaries, or information based on your inputs and the data available to it.
7.2 Limitations of AI
You acknowledge and agree that:
- AI-generated suggestions and responses may not be complete, current, or perfectly accurate;
- Navelder does not have access to all relevant information and cannot account for every personal circumstance;
- Navelder's output is not a substitute for professional advice from qualified healthcare providers, lawyers, financial advisors, or other professionals;
- You must use your own judgment and verify important information independently before making decisions.
7.3 No Warranty
We do not warrant that Navelder will be error-free, uninterrupted, or suitable for any particular purpose. AI technology is evolving, and outputs may occasionally be unexpected or incorrect. You use Navelder at your own risk.
8. Payment and Subscriptions (For Providers)
8.1 Fees
Certain features of the Service may require payment, including subscription plans or listing fees for providers. Current pricing and payment terms will be disclosed before you commit to any paid service.
8.2 Billing and Refunds
By subscribing to a paid plan, you authorize us to charge the payment method you provide on a recurring basis until you cancel. Fees are generally non-refundable except where required by applicable law.
8.3 Changes to Pricing
We may change our pricing from time to time. We will provide reasonable advance notice of any material price changes. Your continued use of paid features after the new pricing takes effect constitutes your acceptance of the updated pricing.
8.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period, and you will retain access until that time. You are responsible for cancelling if you no longer wish to be billed.
9. Intellectual Property
9.1 Our Intellectual Property
Respite Request Inc. owns or licenses all rights in the Service, including the Respite Request and Navelder names, logos, trademarks, website design, software, content we create, and underlying technology. You may not use our trademarks, logos, or branding without our prior written permission.
The Service's proprietary elements include, without limitation: platform structure and architecture, workflows, user interfaces, ranking and matching logic, AI orchestration and prompt engineering, recommendation algorithms, data models, analytics methodologies, and all associated intellectual property. These elements remain our exclusive property regardless of whether they are visible to users or produce outputs accessible through your account.
No license, express or implied, is granted to you to study, analyze, reverse engineer, or replicate any aspect of the Service's internal design, logic, or methodologies. Access to the Service does not confer any rights to the underlying technology or system architecture.
9.2 Your Content
You retain ownership of any content you submit to the Service (such as listings, messages, or profile information). By submitting content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, modify, and distribute that content as necessary to operate and promote the Service.
You represent that you have all necessary rights to the content you submit and that it does not infringe on the rights of any third party.
9.3 Feedback
If you provide us with suggestions, ideas, or feedback about the Service, we may use them without any obligation to compensate you.
10. Use of Platform Outputs and Analytics
10.1 Definition of Platform Outputs
"Platform Outputs" means any and all data, analytics, dashboards, rankings, recommendations, reports, visualizations, exports, AI-generated responses, match scores, visibility metrics, comparative insights, derived intelligence, and any other information or materials generated by or through the Service and made available to you through your account or use of the Service.
10.2 Permitted Use
Platform Outputs are provided solely for your internal operational purposes in connection with your authorized use of the Service. If you are a verified provider, you may use Platform Outputs to manage your listing, respond to inquiries, and understand your performance on the platform. If you are a discharge planner or caregiver, you may use Platform Outputs to identify and evaluate care options for the individuals you serve.
10.3 Prohibited Uses of Platform Outputs
You agree not to:
- Redistribute, publish, disclose, share, or make Platform Outputs available to any third party, except as strictly necessary to fulfill your operational role (e.g., sharing a specific recommendation with a patient's family);
- Use Platform Outputs for competitive intelligence, market research, benchmarking studies, or product development purposes;
- Aggregate, analyze, or process Platform Outputs to replicate, approximate, or reverse-engineer the Service's algorithms, methodologies, or ranking systems;
- Resell, sublicense, or commercialize Platform Outputs in any form;
- Use Platform Outputs to build, train, or enhance a competing service or product.
10.4 Ownership and Proprietary Nature
Platform Outputs remain the proprietary property of Respite Request Inc. and are protected by intellectual property laws. They are licensed to you on a limited, non-exclusive, non-transferable, revocable basis for the permitted uses described above. Platform Outputs do not constitute "your data" or user-owned data products.
10.5 Revocation of Access
We reserve the right to revoke or limit your access to Platform Outputs at any time if we determine, in our sole discretion, that you have violated these Terms or misused such outputs.
